Transactional Risk Advisory
Dr. Roeder advises multinational corporations, private equity sponsors, and financial institutions on the trade, sanctions and national security dimensions of cross-border transactions—integrating foreign investment screening, export control risk and compliance remediation into transaction planning from initial structuring through post-closing integration.
In particular, Dr. Roeder advises on compliance and transactional due diligence for M&A, private equity investments, joint ventures and financings with trade, sanctions or national security dimensions. Services include pre-signing risk assessment and deal structuring, early warning monitoring, SPA trade compliance review and negotiation (representations, warranties, indemnities, conditions precedent and regulatory approvals), signing-to-closing coordination with relevant authorities, interface management with external and internal stakeholders, navigating deal-team and compliance team investment committee alignment, and post-closing remediation, integration and exit-readiness.
